Cosmetic and Personal Care Product Testing

The Importance of Mutual Non-Disclosure Agreements in Cosmetic and Personal Care Product Testing

Posted on: June 19, 2025 by Jane Tervooren

The cosmetic and personal care industry is a dynamic and competitive field, driven by innovation, consumer safety, and regulatory compliance. As cosmetic companies race to develop new formulations, improve product efficacy, and cater to evolving consumer demands, they increasingly rely on partnerships with contract laboratories, research institutions, and independent evaluators. Whether it’s a startup developing a novel skincare serum, a multinational brand testing a new shampoo formulation, or a third-party lab conducting safety assessments, both sides may share proprietary data, methods, or materials that must remain protected.

These collaborations often involve sharing sensitive business and scientific information. Validated Claim Support is committed to protecting these exchanges by providing their company Mutual Non-Disclosure Agreement (MNDA) or signing a client’s MNDA. In that regard, VCS does not share who their clients are with the outside world, unless the client choses to publish a study run by VCS, which then becomes public information.

Here are two examples of studies which were run at Validated Claim Support and the sponsors chose to publish the results:

Johnson & Johnson Consumer, Inc – View Study Here

Brief Summary

The purpose of this study is to evaluate the whitening potential effect of different mineral sunscreens across multi-cultural skin tones through instrumentation, imaging, and self-assessment and also evaluate the relationship between self-perception and objective measurement of whitening. 97 subjects were enrolled.

Detailed Description

This single center, open-label clinical study was conducted to evaluate the efficacy and tolerability of an eye cream on healthy female subjects between 35 to 60 years of age with Fitzpatrick Skin Type I – VI, and moderate to severe dark circles and under-eye puffiness.

This study aims to evaluate the following objectives:

    1. To evaluate the eye cream impact on undereye dark circles, undereye puffiness, fine lines and wrinkles periorbital eye area, and overall appearance periorbital eye area, as evaluated by investigator clinical grading, chromameter, VISIA clinical photography, and subjective questionnaire performed at baseline, week 4, week 8, and week 12.
    2. To evaluate the eye cream impact on under eye blood flow, as evaluated by laser doppler performed at baseline, week 8, and week 12.
    3. To assess objective and subjective tolerability of Dryness, Erythema, and Edema, and Burning, Stinging, Peeling, and Itching evaluated by investigator and subjective grading at baseline, week 4, week 8, and week 12.

A total of 37 subjects completed the open-label clinical study.

Protecting Proprietary Formulations and Innovation

Cosmetic and personal care products are often defined by their formulations—carefully crafted combinations of ingredients designed to deliver specific benefits, whether anti-aging effects, moisturization, or UV protection. These formulations represent significant investment in research, development, and branding. When working with external labs or regulatory consultants, companies must share these details for testing and evaluation. VCS has a deep respect for protecting sponsors’ proprietary information.

Similarly, Validated Claim Support brings their own proprietary methodologies, lab protocols, and data analytics tools to the table. A Mutual Non-Disclosure Agreement ensures that neither party can disclose, replicate, or misuse the other’s intellectual property. Without this legal protection, a company’s innovation could be exposed, copied, or prematurely leaked to competitors or the public, severely impacting market advantage and brand reputation.

Enabling Open and Efficient Collaboration

In cosmetic and personal care product testing, effective collaboration requires the free flow of information. Formulators, chemists, toxicologists, and compliance officers must often discuss detailed aspects of product composition, test results, consumer trial feedback, and regulatory strategy. Yet, without the security of an MNDA, companies may withhold critical information out of fear it will be misused or shared inappropriately.

An MNDA creates a framework of trust and teamwork, enabling both parties to speak openly and in detail, knowing that their disclosures are legally protected. This transparency helps streamline the testing process, reduces delays, and improves the overall quality of product development and testing. It also supports faster problem-solving—such as adjusting a formulation based on test outcomes—without unnecessary legal risk.

Supporting Regulatory and Ethical Compliance

Cosmetic and personal care testing, while not regulated as strictly as pharmaceutical testing, still must comply with a variety of international standards. Regulatory bodies such as the U.S. Food and Drug Administration (FDA), the European Commission (EC), and other national agencies require substantiation of safety and, in some cases, efficacy. Testing may include toxicological reviews, patch testing, microbial stability, and clinical efficacy studies.

An MNDA can include provisions that reinforce regulatory responsibilities, such as safeguarding consumer panelist information or ensuring that adverse event data remains confidential while under investigation. Even when full Data Processing Agreements (DPAs) are not necessary, MNDAs help define how sensitive data—especially from human testing panels or proprietary ingredient suppliers—is handled.

Ethical standards are also at play. Consumers are increasingly concerned about transparency, cruelty-free practices, and ingredient sourcing. Brands must walk a fine line between disclosing what consumers want to know and protecting their trade secrets. An MNDA helps manage this balance internally, ensuring that confidential test results, ethical sourcing data, or sustainability strategies are not disclosed until the company is ready.

Avoiding Disputes and Ensuring Clarity

In any business relationship, misunderstandings can arise—particularly when expectations are not clearly defined. This is especially true in cosmetic testing projects, which may span months and involve multiple phases: pre-formulation, pilot testing, stability studies, and consumer trials. A well-drafted MNDA outlines what constitutes confidential information, how long it must remain confidential, and how it can be used.

A MNDA protects both sides of the testing process and ensure the relationship stays focused on innovation and collaboration, not litigation.

Empowering Innovation in a Competitive Market

Innovation is at the heart of the cosmetics and personal care industry. New claims, ingredients, and technologies drive consumer interest and brand growth. However, companies are unlikely to invest heavily in product development unless their ideas are protected. MNDAs allow companies to engage with external experts, test partners, and consultants while maintaining control over when and how their innovations are revealed.

Additionally, many beauty trends are time-sensitive and brands aim to be first to market with an innovative product. An MNDA ensures that concepts and test results aren’t disclosed or leaked before a strategic product launch, maximizing the commercial impact and maintaining a competitive edge.

In the cosmetics and personal care industry, Mutual Non-Disclosure Agreements are not merely legal formalities—they are strategic tools that protect innovation, facilitate trust, and ensure ethical, compliant, and efficient product development and partnership. As testing becomes increasingly sophisticated and collaborative, MNDAs provide the legal backbone necessary to share information securely and confidently.
